The terms presented below have contractual value and are governed by the following legal provisions:
Regulation (EU) 2019/1150 of the European Parliament and of the Council of 20 June 2019 on promoting fairness and transparency for business users of online intermediation services;- 'consumer' means any natural person who is acting for purposes outside their trade, business, craft, or profession;
- 'trader' means any natural or legal person, whether public or private, who is acting, including through another person acting in their name or on their behalf, for purposes relating to their trade, business, craft, or profession;
- 'illegal content' means any information which, in itself or in relation to an activity, including the sale of products or provision of services, is not in compliance with Union law or the law of any Member State which is in compliance with Union law, irrespective of the precise subject matter or nature of that law;
- 'distance contract' means any contract concluded between a trader and a consumer under an organized distance sales or service-provision scheme, without the simultaneous physical presence of the trader and the consumer, with the exclusive use of one or more means of distance communication up to and including the moment the contract is concluded;
- 'general terms of use' means all clauses, regardless of their name or form, governing the contractual relationship between the intermediary service provider and the recipients of the service, which are unilaterally established by the service provider;
- 'recipient of the service' means any natural or legal person who uses an intermediary service, in particular for the purpose of storing information or making it accessible.
4.1. This contract defines the framework under which Vpz Hosting Services SRL agrees to provide products and services to its clients and users. It represents an agreement between Vpz Hosting Services SRL and its clients. All clients and users of the services are subject to these terms and conditions, and the use of the services of Vpz Hosting Services SRL implies acceptance of and compliance with these Terms and Conditions.
4.2. By completing the order form and ticking the box 'I agree with the Terms and Conditions', the client declares that:
- They have read, understood, and fully accept the provider's Terms and Conditions.
- The client warrants and declares that they are either a natural person at least 18 years old or a legal entity validly registered under applicable law.
- They provide correct, complete, and up-to-date information in the order form, including: personal data (name, address, personal identification number or equivalent), payment information (card, bank account, etc.), and any other information required to provide the services.
- They are responsible for the accuracy and truthfulness of the data and understand that the provider is not liable for errors caused by incorrect or incomplete information.
- They undertake to comply with all legal obligations regarding the use of the services and not to use the servers for illegal or abusive purposes or for infringing third-party rights.
- They are responsible for maintaining the confidentiality of the account and passwords and for immediately reporting any unauthorized use.
5.1. The Provider may amend the terms and conditions of this contract.
5.2. Amendments will be notified to the user via a visible message on the online platform (pop-up or another clear and effective mechanism) at least 15 days before entry into force. The lack of a response or continued use of the Website after this period is considered tacit acceptance, pursuant to Article 3 of Regulation (EU) 2019/1150.
5.3. The 'Last updated date' noted at the beginning of the document will be updated for transparency.
5.4. Each subsequent access to the Website constitutes confirmation of acceptance of the updated terms and conditions, pursuant to Article 3 of Regulation (EU) 2019/1150.
5.5. It is the client's responsibility to periodically check this page to stay informed about the latest version of the Terms and Conditions.
5.6. The 15-day notice period does not apply where the Provider is legally or regulatorily required to amend the terms and conditions immediately, or in exceptional situations such as protecting the services, users, or third parties against fraud, malware, spam, data security breaches, or other cyber risks.
6.1. The services of Vpz Hosting Services are available through subscription plans for 1, 3, 6, 12, or 24 months. These subscriptions are intended exclusively for personal use and may not be shared, resold, or distributed without prior approval.
6.2. Prices are displayed on the Website and may be changed without prior notice. However, existing subscriptions will keep the initial price for their entire validity period.
6.3. All payments are made in advance and do not include any additional processing fees.
6.4. By accepting these Terms and Conditions, the client agrees to pay in advance for the period during which the services are provided.
6.5. Services are provided exclusively on the basis of prepayment for the selected period (e.g., 1 month or multiple consecutive months). Access to services is permitted only for the period paid for.
6.6. In case of non-payment of the service/subscription price, the user's access to services will not start / will be suspended until full payment is made.
Vpz Hosting Services provides the following services: 7.1. Software-based solutions Vpz Hosting Services provides software solutions and related services, including the development, configuration, deployment, maintenance, and optimization of software components, tools, and systems, as agreed with the client. 7.2. Remote DDoS-protected licenses Vpz Hosting Services offers remote licenses and/or access to software or service functionalities delivered over the network, which may include DDoS-protection capabilities and/or operation behind DDoS-protected infrastructure. These licenses are provided for remote use under the technical parameters and limitations described on the Website and/or in the client's order and service description. 7.3. Remote hands Vpz Hosting Services may provide remote hands services, meaning operational and technical assistance performed remotely on client-requested tasks, such as configuration changes, troubleshooting, service checks, routine operational actions, and other reasonable technical interventions, based on feasibility and the selected support level. 7.4. Custom scripts and applications Upon request, Vpz Hosting Services may create, adapt, or deploy custom scripts, automations, integrations, or applications for the client. The scope, deliverables, timelines, acceptance criteria, and any applicable fees will be agreed in writing (ticket, e-mail, order form, or statement of work) before delivery. 7.5. Service limitations and delivery All services are provided according to the specifications and limitations stated on the Website and/or in the applicable order, plan description, or written agreement. Certain services may require identity verification, technical prerequisites, or additional information from the client to enable delivery and secure operation.
8.1. When creating an account and/or before activating any services, the User must provide real, complete, and up-to-date identity information. Depending on the nature of the account and risk assessment, the Provider may request: - full name / company name and identification details; - e-mail address, phone number, billing address; For natural persons: a valid identity document (ID card/passport); For legal entities: registration certificate, legal representative details and/or power of attorney; - any other information necessary for identity verification. 8.2. Verification methods The Provider may use automated or manual verification procedures, including: - validation of identity documents; - video or photo checks to confirm identity; - checks through external services specialized in digital onboarding; - additional checks required by fraud prevention regulations, cybersecurity requirements, or, where applicable, KYC/AML rules. 8.3. Data updates The User must immediately update their data when changes occur; failure to do so results in user liability.
9.1. The User is fully responsible for the confidentiality of authentication data (username, password, etc.) and for all activities performed through their account, whether carried out with or without their consent. The User must use strong passwords and implement two-factor authentication (2FA) when available. 9.2. The User undertakes to immediately notify Vpz Hosting Services of any unauthorized access, suspected account compromise, loss of authentication data, security breach, unauthorized access to services, or improper use of hosting resources. Notification must be sent as soon as the User becomes aware of the incident. 9.3. The User undertakes to log out properly after each session and not leave the account open on public or unsecured devices. 9.4. The Provider is not responsible for any loss or damage suffered by the User as a result of: - failure to comply with account security obligations; - disclosure, loss, or compromise of the password; - unauthorized use of the account by third parties; - installation or use by the User of applications/vulnerabilities that endanger service security. 9.5. The Provider reserves the right to temporarily or permanently block access to the account, password, hosting resources, associated services, or stored content in the following cases: - suspicion of unauthorized access, fraud, abuse, or security compromise; - use of services in a manner that may affect the Provider's infrastructure or other users; - failure to comply with contractual obligations or usage policies; - failure to complete identification procedures (KYC) if required; - non-payment of services or serious breaches of these Terms and Conditions. 9.6. Suspension may be applied immediately, without prior notice, if the situation poses a risk to the Provider's systems. 9.7. The Provider may deactivate or delete the User's account, together with all associated information, files, and data, in any of the following situations: - the User's express request; - breach of terms and conditions; - illegal, fraudulent, or policy-contrary use of services; - non-payment within the established term; - the need to protect infrastructure or other users in case of immediate security risks. 9.8. The Provider is not liable to the User or third parties for suspension, blocking, restricting access, deactivation, or deletion of the account where such measures are necessary or justified under these Terms and Conditions.
10.1. The Client has the right to terminate the contract for justified and well-grounded reasons by sending a written termination request to Vpz Hosting Services at least 14 days before the expiration of the contractual period, and paid amounts will not be refunded. Vpz Hosting Services reserves the right to unilaterally terminate the contract with a client, with prior notice, in any of the following cases: - Non-payment: if the client fails to pay invoices within 7 days from the due date (or within the term specified on the invoice if different) and the delay persists, Vpz Hosting Services may suspend and subsequently terminate the service for non-payment. - Serious or repeated breach of these Terms and Conditions: if the client seriously breaches this agreement (e.g., illegal activities, mass spam, cyberattacks, etc.) or repeatedly breaches these Terms and Conditions (even after being previously warned), the Provider may terminate the contract. Depending on severity, termination may be immediate (especially for serious breaches that endanger infrastructure or other users). - Illegal or abusive activities: if it is determined that services are used for illegal activities (e.g., phishing, distribution of illegal content, cyber fraud) or abusive activities affecting integrity and performance (e.g., using the service to attack other systems, intentionally overloading servers), the contract may be terminated unilaterally. Such situations also constitute grounds for immediate suspension before termination to limit damages. 10.2. In the event of termination initiated by the Provider for reasons attributable to the client (as above), amounts paid in advance will not be refunded, and the client may be liable for damages caused to the Provider and/or third parties by their actions. - Automatic termination upon expiration: If a service reaches its expiration date and has not been renewed, the contract is deemed terminated by law on the expiration date of the paid period. From that date, the Provider will suspend the service and has the right to permanently delete all data associated with the respective account, without further notice and without any obligation to the client.
11.1. Eligibility conditions for refunds. To request a refund under this guarantee, the client must: - Users are eligible for a full refund within 7 days from service activation; - Be a new client for that specific service (the guarantee is offered only once per service type per client). If a client previously used the same service, the Provider reserves the right to refuse a second refund; - Submit the refund request in writing within 7 days; after 7 days, the client loses the right to request a refund; - No refunds are granted if the user carried out prohibited activities or breached these Terms and Conditions; - Not have already used a significant part of the service resources in a way that indicates "consume and leave"; - DDoS-protected services are not refundable after 3 days of use or in case of excessive bandwidth consumption. 11.2. After receiving the refund request and verifying eligibility according to the criteria above, the Provider will approve the refund and return the amount paid to the account from which the initial payment originated. Refunds are generally made through the same payment method used by the client (e.g., card refund, bank transfer) within 7-10 business days from approval. The refunded amount will exclude any non-refundable costs (e.g., domain fees, if included in the package). If payment was made using a method that does not allow refunds (e.g., SMS, single-use prepaid cards, cryptocurrencies), the Provider will offer an alternative return method (e.g., bank transfer) or account credit, at the client's choice.
12.1. This distance contract is governed by the laws of Romania, in particular the Civil Code and special laws applicable to e-commerce, hosting services, and consumer protection, as well as European Union Regulations. 12.2. Any dispute arising between the Provider and the client will be resolved amicably in a spirit of cooperation. If amicable resolution is not possible, territorial jurisdiction belongs to the courts within the jurisdiction of the Provider's registered office (currently: Lipova, Romania). 12.3. Dissatisfied consumers may also file a complaint with the National Authority for Consumer Protection (ANPC). However, we appreciate the opportunity to resolve any issues directly and encourage you to contact us first for any service-related complaints..
13.1. The Provider makes every effort to offer quality services, but cannot be held liable for direct or indirect damages caused by temporary unavailability of servers, regardless of the reason. This limitation includes, without limitation, data loss, data corruption, or business interruptions arising from downtime or technical issues. The Provider will also not be liable for damages caused by corruption or deletion of data hosted on its servers. 13.2. Services are provided on an "as is" and "as available" basis, without any express or implied warranty regarding fitness for a particular purpose or absolute uninterrupted operation. 13.3. In any situation where the Provider is found liable to the client for any damage related to the use of the services, the Provider's total liability is limited to the amount of fees paid by the client for the affected service during the period in which the damages occurred. The client understands and accepts this clause. 13.4. The Provider is not liable for failure to perform obligations if caused by force majeure or fortuitous events (including, without limitation: natural disasters, armed conflicts, severe cyberattacks, extended power outages, communications network failures, governmental restrictions, etc.). In such cases, affected obligations will be suspended for the duration of the force majeure event and will resume normally once it ends.
14.1. Any communications or notifications made by the parties under this contract will be made as follows: a) for the Provider: to the e-mail address: support@vpz.ro on on vpz.ro by ticket b) for the user: to the e-mail address used when creating the account. 14.2. Any change to the user's e-mail address above must be notified to the other party within 2 days of the change, and any change to the Provider's e-mail addresses will be publicly communicated on the Website.
15.1. Vpz Hosting Services acts exclusively as an intermediary service provider within the meaning of Article 3 of Law no. 50/2024 and Article 6 of Regulation (EU) 2022/2065 (DSA). 15.2. Vpz Hosting Services has no legal obligation to monitor content uploaded by service users, nor to actively seek illegal activity (Article 8 DSA). 15.3. Responsibility for uploaded content lies exclusively with the user of Vpz Hosting Services. Vpz Hosting Services becomes liable only if: a) it receives a valid notice that precisely identifies the illegal content (IP + full URL, file path, port, etc.); b) it has actual knowledge of the illegal nature; c) it does not act promptly to remove or disable access to the illegal content. 15.4. Notices regarding alleged illegal content or intellectual property infringement shall be sent exclusively to: - support@vpz.ro 15.5. A notice alleging illegal content by users of Vpz Hosting Services must cumulatively contain the following (Article 16 DSA): - a clear and sufficiently detailed explanation of why the content is considered illegal, with reference to the legal provision or right infringed (a generic mention such as 'piracy' or 'illegal content' is not sufficient); - the exact location of the allegedly illegal content (full URL, port, or other technical data enabling immediate and precise identification. Merely indicating an IP address may lead to rejection of the Notice); - full name/company name and a valid e-mail address of the person/entity submitting the notice; - an express statement, on the notifier's own responsibility, confirming that the information provided is correct, complete, and that the notice is submitted in good faith. In the absence of any of these elements, the notice will be considered incomplete and will not be analyzed, and will be rejected as non-compliant. Vpz Hosting Services reserves the right to request additional information and/or supporting documents. 15.6. Upon receiving a valid notice, Vpz Hosting Services will act without undue delay, depending on the severity and urgency. Action may include blocking access to the indicated content. In all cases, the user will be informed of the measures taken. 15.7. The user will be informed immediately, without undue delay, and the information will include (Article 17 DSA): - the measure taken; - the legal/contractual basis; - relevant facts; - the duration of the restriction; - the possibility to contest the decision. 15.8. The affected user may contest the decision by sending a request to: - support@vpz.ro 15.9. The contestation must include: user/account identification, the contested decision (date, service/IP/URL, etc.), factual and legal reasons, and any relevant evidence. 15.10. The contestation may be submitted within 30 days from the date the decision is communicated to the user. 15.11. Vpz Hosting Services will analyze the contestation without undue delay and communicate a reasoned solution by e-mail. 15.12. Depending on the circumstances, Vpz Hosting Services may maintain, modify, or revoke the measure, and the modified/revoked decision will be communicated to the notifier. 15.13. Submitting a contestation does not automatically suspend the measure, unless Vpz Hosting Services expressly decides otherwise. 15.14. Orders issued by competent judicial or administrative authorities shall be executed with priority, immediately, without prior notice to the user (except where the order provides otherwise). Confirmation of execution shall be sent to the issuing authority within the indicated term. 15.15. Cooperation with ISP service providers: - notices received from ISP service providers will be processed under the same procedure above. Suspension of an IP or service will be performed only if the notice contains the mandatory elements in section 15.5. - failing that, the notice is considered non-compliant and does not oblige Vpz Hosting Services to take any measure. 15.16. In the case of real and immediate threats to network and infrastructure security, Vpz Hosting Services reserves the right to take proportionate and temporary technical measures without prior notice, solely to protect the network and other users.
16.1. The User has the right to use the contracted services in accordance with the technical specifications and limits of the chosen plan. 16.2. The User has the right to technical support according to the contracted service level and to the availability of the Provider's infrastructure. 16.3. The User is solely responsible for content uploaded, stored, or transmitted through Vpz Hosting Services. By accepting these terms, the client declares and warrants that they hold all necessary rights or legal authorizations for any uploaded material. 16.4. The User undertakes to comply with Romanian and EU legislation in force, including, without limitation: Law no. 8/1996 on copyright and related rights; Law no. 506/2004 on personal data processing and privacy in electronic communications; Regulation (EU) 2016/679 (GDPR); Any other regulation regarding illegal content. 16.5. The User must not use the services for: - infringing copyright or other intellectual property rights; - distributing illegal content (child pornography, hate incitement, terrorism, etc.); - cyberattacks, spam, phishing, malware, or any activity affecting network security. 16.6. The User must keep access data confidential and immediately notify Vpz Hosting Services if compromised. 16.7. In case of suspension or termination for serious breaches, the client is not entitled to a refund for the remaining unused period.
17.1. Vpz Hosting Services has the right to immediately suspend or terminate any service in case of breach of terms and conditions or applicable law, without prior notice in urgent situations or by authority order. 17.2. Vpz Hosting Services has the right to unilaterally change prices and technical specifications, with at least 30 days' prior notice (except force majeure or authority orders). 17.3. Vpz Hosting Services must ensure service availability and provide technical support according to the user's chosen configuration. 17.4. Vpz Hosting Services does not guarantee and is not responsible for: - customer-uploaded content; - interruptions caused by DDoS attacks or other events outside its reasonable control; - data loss in the absence of an active paid backup service. 17.5. Vpz Hosting Services reserves the right to cooperate with competent authorities and provide customer information in cases provided by law, without prior notice. 17.6. The total liability of Vpz Hosting Services for any direct damages is limited to the value paid by the client in the last 12 months for the respective service.
